Terms of Service

These Terms of Service (“Terms”) govern access to and use of the websites, mobile applications, subscription services, partner-search features, client passes, Partner Program services, support resources, checkout pages, and other products and services provided by Skincentric Inc. (“Skincentric,” “we,” “us,” or “our”).
We refer to these products and services collectively as the “Services.”
By accessing or using the Services, creating an account, completing a purchase, activating a client pass, or enrolling in the Skincentric Partner Program, you agree to these Terms and the additional agreements that apply to your use of the Services.
If you do not agree, do not access or use the Services.
1. Additional Agreements
These Terms operate together with:
1.1 Consumer users
Consumer use of Skincentric is also governed by:
- The Skincentric User Agreement;
- The Skincentric Privacy Policy and Consumer Health Data Privacy Notice;
- Applicable checkout or subscription terms; and
- Any feature-specific terms presented to the user.
1.2 Partners
Participation in the Skincentric Partner Program is also governed by:
- The Skincentric Partner Program Terms and Conditions;
- Applicable order forms;
- Invoices and checkout terms;
- Written addenda;
- Partner Asset Use Authorizations where applicable; and
- Other mutually accepted written commercial terms.
Skincentric may maintain versioned records showing which applicable legal documents were accepted.
2. Order of Precedence
If documents governing the Services conflict:
- A mutually signed written addendum or order form controls for the matter it expressly addresses;
- Partner Program Terms control for Partner Program matters;
- The User Agreement controls consumer account and application matters;
- Feature-specific and checkout terms control the relevant feature or purchase;
- These Terms apply as the general framework; and
- General marketing material does not modify the controlling agreements.
The Privacy Policy and Consumer Health Data Privacy Notice control with respect to Skincentric's handling of personal information.
3. Eligibility and Authority
You must be at least 13 years old to use the consumer Services.
If you have not reached the age at which you may independently consent to online services or data processing in your jurisdiction, you may use the Services only with the permission and involvement of a parent or legal guardian.
To make a purchase, you must:
- Be at least 18 years old;
- Have permission from a parent or legal guardian; or
- Otherwise have legal authority to enter into the transaction.
If you use the Services for a business or other organization, you represent that:
- You have authority to act for that organization;
- You have authority to bind it to the applicable agreements; and
- The information you provide about the organization is accurate.
4. Nature of the Services
Skincentric provides digital skincare tools and related technology, which may include:
- Skin scans;
- Educational skin insights;
- Skin Coach;
- Skincare routines;
- Journals and progress tracking;
- Product and treatment tracking;
- Reports and scan comparisons;
- Partner-business profiles;
- Location and service-based Partner search;
- Partner-supported client passes;
- Partner reporting and business tools; and
- Other related features.
Available features may depend on your account, subscription, device, location, Partner relationship, or product version.
5. No Medical Advice
Skincentric is not a doctor, dermatologist, medical practice, healthcare provider, pharmacy, laboratory, or emergency service.
The Services do not provide:
- Medical advice;
- Medical diagnosis;
- Medical treatment;
- Prescriptions;
- Professional healthcare services; or
- A substitute for consultation with a qualified healthcare professional.
Skin scans, Skin Coach responses, routines, reports, reminders, educational content, and other outputs may be inaccurate, incomplete, or unsuitable for a particular person.
Consult an appropriate licensed professional regarding medical symptoms, diagnosed conditions, prescription treatments, adverse reactions, or other health concerns.
If you believe you are experiencing a medical emergency, contact emergency services or an appropriate healthcare professional immediately.
6. Accounts and Security
Certain Services require an account.
You agree to:
- Provide accurate account information;
- Keep your information reasonably current;
- Protect your login credentials and devices;
- Notify Skincentric promptly of suspected unauthorized access; and
- Accept responsibility for activity conducted through your account to the extent permitted by law.
You may not:
- Impersonate another person or business;
- Create an account without authorization;
- Sell or transfer an account;
- Use another person’s account without permission;
- Create accounts to evade restrictions; or
- Use false or misleading account information.
Skincentric may require verification or additional security measures where reasonably necessary.
7. Consumer Subscriptions and Purchases
Certain consumer features require a paid subscription or other entitlement.
Available prices, features, billing periods, promotions, and renewal terms will be displayed before purchase.
Unless otherwise stated:
- Subscriptions renew automatically until canceled;
- You authorize the applicable payment provider to charge the payment method associated with the subscription;
- Cancellation prevents future renewal but does not ordinarily terminate access already paid for;
- Deleting the application does not cancel a subscription; and
- Refunds are provided only when required by law or expressly approved.
Purchases processed through Apple are also subject to Apple’s applicable billing and refund rules.
Purchases processed directly by Skincentric may be handled through Stripe or another authorized payment provider.
The User Agreement contains additional consumer billing, cancellation, refund, and subscription provisions.
8. Partner Search and Business Profiles
Skincentric may provide a directory of participating independent businesses.
Partner discovery is neutral.
Results may use:
- Services or service categories selected by the user;
- Distance from the searched location; and
- A deterministic noncommercial tie-breaker, currently normalized business name and then stable Partner identifier.
Partner search ranking is not improved by:
- Subscription tier;
- Monthly subscription price;
- Sponsorship;
- Partner-pass origin;
- User affiliation with a Partner; or
- Other commercial consideration.
Skincentric does not use scans, scan results, scan-derived concerns, Skin Coach conversations, journals, routines, product history, progress information, or other private skincare information to select, rank, recommend, promote, or advertise Partners.
Skincentric does not provide scan-based Partner recommendations.
Partner-pass attribution may appear separately in entitlement, account, activation, or co-branded surfaces.
9. Partner-Supported Client Access
Participating Partners may provide approved temporary access to eligible Clients.
Client passes:
- Have no cash value;
- May not be sold or resold;
- May not be separately charged for;
- Are subject to program limits and fraud controls; and
- Do not affect the Partner's position in ordinary directory search.
Partner-supported access does not give the Partner access to private scan, journal, routine, Coach, product, or progress information.
10. Privacy
Skincentric's Privacy Policy and Consumer Health Data Privacy Notice describe its data practices.
Among other things:
- Optional product analytics are separate from essential diagnostics and operational processing;
- Skin Coach conversation history may be stored;
- Journal weather and UV location access is optional and user-initiated;
- Partner discovery does not use private skincare information;
- Structured exports may be provided with manifests describing included categories and limitations; and
- Account deletion may occur through an asynchronous, server-coordinated process.
11. Your Content
You retain ownership of photographs, videos, audio, text, journal entries, routines, messages, and other materials you submit through a consumer account.
Skincentric receives only the limited rights reasonably necessary to:
- Store and process that content;
- Provide requested features;
- Synchronize the user’s account;
- Maintain security;
- Diagnose technical issues;
- Comply with law; and
- Enforce applicable agreements.
Skincentric does not receive a general right to use private consumer content in advertisements, public testimonials, social-media promotions, or other public marketing.
Additional terms concerning consumer content are contained in the User Agreement.
Partner-provided profile information, logos, photographs, trademarks, and other Partner assets are governed by the Partner Program Terms and any applicable Partner Asset Use Authorization.
12. Skincentric Intellectual Property
Skincentric and its licensors own all rights in the Services, excluding content owned by users or Partners.
Protected materials may include:
- Software;
- Application interfaces;
- Source and object code;
- Algorithms;
- Designs;
- Reports;
- Scan formats;
- Databases;
- Text;
- Graphics;
- Documentation;
- Workflows;
- QR systems;
- Partner materials;
- Trademarks; and
- Other intellectual property.
Subject to your compliance with the applicable agreements, Skincentric grants you a limited, revocable, nonexclusive, nontransferable, and nonsublicensable license to use the Services for their intended purpose.
You may not, except where applicable law expressly permits:
- Copy, sell, license, or commercially exploit the Services;
- Reverse engineer, decompile, or disassemble the Services;
- Create a competing product using nonpublic Skincentric materials;
- Circumvent access controls, subscriptions, or usage limits;
- Scrape or systematically collect data;
- Remove proprietary notices;
- Interfere with the Services; or
- Use Skincentric trademarks without written permission.
13. Feedback
You may provide ideas, comments, or suggestions regarding the Services.
You grant Skincentric a perpetual, irrevocable, worldwide, royalty-free right to use nonconfidential feedback without compensation or obligation.
This does not give Skincentric the right to publicly use private skin scans, photographs, journals, conversations, or other private account information.
14. Acceptable Use
You may not use the Services to:
- Violate applicable law;
- Commit fraud or deception;
- Harm, harass, or impersonate another person;
- Violate another person’s privacy or intellectual-property rights;
- Upload malware or harmful code;
- Gain unauthorized access to an account or system;
- Disrupt or overload the Services;
- Bypass payment, security, or usage controls;
- Abuse promotions, subscriptions, QR codes, or client passes;
- Create fraudulent Partner activations;
- Misrepresent Skincentric output as medical advice;
- Make false claims regarding Skincentric or a Partner;
- Scrape Partner or user information;
- Attempt to identify users from aggregated information; or
- Assist another person in doing any of these things.
15. Third-Party Services
The Services may link to or integrate with:
- Apple;
- Stripe;
- Map and directions providers;
- Authentication providers;
- Partner websites;
- Booking systems;
- Payment services;
- Communication services; and
- Other third-party products.
Third-party services are governed by their own terms and privacy practices.
Skincentric does not control and is not responsible for the availability, security, content, conduct, products, or services of a third party.
A link or integration does not necessarily constitute endorsement.
16. Service Availability and Changes
Skincentric may update, modify, improve, suspend, replace, or discontinue features.
We do not guarantee that:
- Every feature will always be available;
- The Services will operate without interruption;
- A third-party integration will remain available;
- A Partner profile will remain published;
- Data will synchronize immediately; or
- Every device will remain supported.
Where reasonably practicable, Skincentric will provide notice before materially discontinuing a paid feature during an active paid term.
Skincentric may take immediate action where required for security, legal compliance, privacy, fraud prevention, or user safety.
17. Suspension and Termination
Skincentric may restrict, suspend, or terminate access when we reasonably believe:
- Applicable agreements have been violated;
- Payment is overdue;
- An account or benefit is being used fraudulently;
- Use creates a security, legal, privacy, or safety risk;
- Continued use could harm Skincentric, a user, a Partner, or another person; or
- Action is required by law.
Where appropriate, Skincentric may provide notice or an opportunity to correct the issue.
Immediate action may be taken for fraud, security threats, illegal activity, abuse, or risk of harm.
18. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
SKINCENTRIC DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF:
- MERCHANTABILITY;
- FITNESS FOR A PARTICULAR PURPOSE;
- TITLE;
- NON-INFRINGEMENT;
- ACCURACY;
- RELIABILITY; AND
- QUIET ENJOYMENT.
SKINCENTRIC DOES NOT WARRANT THAT:
- THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE;
- SKIN SCAN OR SKIN COACH OUTPUTS WILL BE ACCURATE;
- A ROUTINE, PRODUCT, OR SERVICE WILL BE SAFE OR EFFECTIVE;
- DATA WILL NEVER BE LOST;
- PARTNER INFORMATION WILL BE COMPLETE OR CURRENT; OR
- A PARTNER’S SERVICES WILL MEET A USER’S EXPECTATIONS.
Some jurisdictions do not permit certain warranty exclusions. These exclusions apply only to the extent permitted by applicable law.
19. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKINCENTRIC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES;
- LOST PROFITS, REVENUE, BUSINESS, BOOKINGS, OR GOODWILL;
- LOSS OR CORRUPTION OF DATA;
- INTERRUPTION OF USE;
- COSTS OF SUBSTITUTE PRODUCTS OR SERVICES;
- DECISIONS MADE IN RELIANCE ON AUTOMATED OUTPUTS; OR
- PRODUCTS, SERVICES, ACTS, OR OMISSIONS OF A PARTNER OR OTHER THIRD PARTY.
The applicable User Agreement or Partner Program Terms contains the liability cap governing a particular consumer or Partner claim.
If neither specific agreement applies, Skincentric’s total liability will not exceed the greater of:
- The amount you paid to Skincentric during the 12 months before the event giving rise to the claim; or
- One hundred U.S. dollars ($100).
Nothing in these Terms limits liability that applicable law does not permit the parties to exclude or limit.
20. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Skincentric and its officers, directors, employees, agents, contractors, and affiliates from claims, liabilities, losses, damages, judgments, and reasonable legal expenses arising from:
- Your unlawful or unauthorized use of the Services;
- Your violation of these Terms;
- Fraudulent activity through your account;
- Content or assets you submit without appropriate authorization; or
- Your infringement of another person’s rights.
A Partner’s additional indemnification obligations are contained in the Partner Program Terms.
This section does not require indemnification for Skincentric’s own negligence, willful misconduct, unlawful conduct, or breach of these Terms.
21. Governing Law and Disputes
Consumer disputes are governed by the dispute-resolution provisions of the User Agreement.
Partner disputes are governed by the Partner Program Terms.
For other matters, these Terms are governed by the laws of the State of Georgia without regard to conflict-of-law principles, subject to mandatory rights that applicable law does not permit the parties to waive.
22. Changes to These Terms
Skincentric may update these Terms to reflect changes in:
- The Services;
- Law or regulation;
- Business practices;
- Technology;
- Payment systems;
- Partner features;
- Security requirements; or
- Privacy practices.
We will update the “Last updated” date when changes are made.
If a change is material, we may provide notice through the application, website, email, Partner dashboard, checkout process, or another reasonable method.
Updated Terms generally apply prospectively when posted or accepted.
23. Electronic Communications
You agree that Skincentric may provide agreements, notices, disclosures, invoices, receipts, and other communications electronically, subject to applicable law.
Electronic communications satisfy legal requirements that communications be provided in writing.
24. General Terms
24.1 Entire agreement
These Terms and the applicable incorporated agreements form the entire agreement concerning the relevant Services.
24.2 Severability
If a provision is unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain effective.
24.3 No waiver
Failure to enforce a provision is not a waiver of the right to enforce it later.
24.4 Assignment
You may not assign these Terms without Skincentric’s written permission.
Skincentric may assign these Terms in connection with a merger, acquisition, restructuring, financing, sale of assets, or transfer of the Services, subject to applicable law.
24.5 No agency
These Terms do not create an employment, fiduciary, agency, franchise, partnership, or joint-venture relationship.
24.6 No third-party beneficiaries
Except for Apple where expressly stated in the User Agreement, these Terms do not create rights for third-party beneficiaries.
24.7 Headings
Headings are for convenience and do not affect interpretation.
